1. Introduction

1.1 Welcome to the Rakuten platform (the "Site"). Please read these Terms & Conditions carefully before using the Site or opening a Rakuten account ("Account") so that you understand your legal rights and obligations with respect to Rakuten Group and its affiliates and subsidiaries (individually and collectively, "Rakuten", "we", "us" or "our"). The "Services" we provide include:
(a) the Site;
(b) services provided via the Site and Rakuten client software; and
(c) all information, linked pages, features, data, text, images, graphics, music, sounds, video (including live streams), messages, tags, content, software, applications, or other materials made available through the Site or its related services ("Content").

Any new features or modifications to the Services are subject to these Terms & Conditions.

1.2 The Services include an online platform that facilitates the sale of goods between buyers (“Buyer”) and sellers (“Seller”) (collectively “you”, “Users” or “Parties”). All contracts for sale are directly between Buyer and Seller; Rakuten is not a party to any such contract and accepts no liability. Parties are fully responsible for the sale, listing of goods, warranties, and related matters. Rakuten may or may not pre-screen Users or their Content and reserves the right to remove Content according to Section 6.4. Rakuten does not guarantee that Users will complete transactions.

1.3 By becoming a User, you must read and accept all Terms & Conditions and consent to the processing of your personal data as described in our Privacy Policy.

1.4 Rakuten may change, modify, suspend, or discontinue the Site or Services at any time. Certain Services may be released in beta versions that may not function as the final release. Rakuten is not liable for issues arising from beta Services. Access to certain features may be restricted at our discretion.

1.5 Rakuten may refuse access to the Site or Services or the ability to open an Account for any reason.

By using Rakuten Services or opening an Account, you accept these Terms & Conditions. Users under the legal age of consent in their country must have parental or guardian approval.

2. Privacy

2.1 Your privacy is important. Please review Rakuten’s Privacy Policy to understand how we collect and use your information (“User Information”). By using the Services:

(i) you consent to Rakuten’s collection, use, disclosure, and processing of your Content and personal data as described;
(ii) you acknowledge that proprietary rights to User Information are jointly owned by you and Rakuten;
(iii) you shall not disclose or allow third parties to access User Information without Rakuten’s consent.

2.2 If a User obtains another User’s personal data (“Receiving Party”), they must:
(i) comply with applicable data protection laws;
(ii) allow the data owner (“Disclosing Party”) to remove their data;
(iii) allow the Disclosing Party to review collected information, in compliance with applicable law.

3. Limited License

3.1 Rakuten grants a limited, revocable license to access the Services. All intellectual property on the Site belongs to Rakuten or third-party owners. Users may not copy, distribute, adapt, or create derivative works without prior consent.

3.2 You may link to the Site, provided it does not imply endorsement by Rakuten. Rakuten may discontinue Services at any time without notice.

4. Software

4.1 Software provided as part of the Services is subject to these Terms. Third-party scripts or code are licensed by their owners, not Rakuten.

5. Accounts and Security

5.1 Registration requires a unique User ID and password and submission of personal information. Offensive or inappropriate User IDs may be suspended or terminated. Third-party integrations may have separate terms and policies.

5.2 You agree to:
(a) keep your password confidential;
(b) log out at the end of each session;
(c) notify Rakuten immediately of unauthorized use;
(d) maintain accurate Account information.
You are fully responsible for all activity under your Account. Rakuten is not liable for unauthorized use or failure to comply.

5.3 Rakuten may suspend, freeze, or terminate Accounts for inactivity, violation of these Terms, fraudulent or abusive behaviour, multiple accounts, abnormal purchasing, voucher abuse, or harmful conduct. Illegal activity may be reported to authorities.

5.4 Users may terminate Accounts by notifying Rakuten via email. Termination does not relieve Users from obligations for incomplete transactions.

5.5 Accounts and Services may only be used from approved countries.

6. Terms of Use

6.1 The license to use the Site and Services is effective until terminated. Rakuten may terminate access at any time for violations of these Terms.

6.2 Users agree not to:
(a) post unlawful, harmful, threatening, abusive, defamatory, obscene, or objectionable Content;
(b) violate laws, third-party rights, or prohibited items policies;
(c) harm minors;
(d) impersonate others;
(e) manipulate identifiers;
(f) remove proprietary notices;
(g) create derivative works without consent;
(h) act for third-party benefit outside permitted licenses;
(i) use Content fraudulently or deceptively;
(j) operate multiple accounts in violation of Terms;
(k) use emulators, bots, or simulators;
(l) manipulate prices or interfere with other listings;
(m) undermine ratings or feedback;
(n) attempt to hack or reverse engineer Services;
(o) harvest personal data;
(p) share Content without rights;
(q) infringe intellectual property;
(r) post spam or unauthorized solicitation;
(s) upload malicious software;
(t) disrupt dialogues or normal use;
(u) interfere with Services or servers;
(v) damage or overburden Services;
(w) violate anti-money laundering or counter-terrorism laws;
(x) circumvent sanctions or embargoes;
(y) violate privacy or harass others;
(z) infringe Rakuten’s rights;
(aa) collect User data for prohibited conduct;
(bb) list items infringing third-party rights;
(cc) encourage off-platform transactions.

6.3 Users are solely responsible for Content. Rakuten is not liable for offensive or inaccurate Content.

6.4 Rakuten may pre-screen, remove, or refuse Content without liability for violations, complaints, IP claims, or other reasons.

6.5 Rakuten may access, preserve, or disclose Account information for legal, regulatory, or safety purposes.

7. Violation of Terms

7.1 Violations may result in:

Account restrictions

Suspension or termination

Civil or criminal action

8. Intellectual Property Rights

8.1 Users must not list items infringing intellectual property rights.

8.2 Users are independent; Rakuten does not own listed items.

8.3 IPR Owners or agents may submit complaints with required documentation.

8.4 Complaints must include signature, description of rights, description of infringement, URLs, contact info, and good-faith statements.

8.5 Rakuten does not enforce exclusive distribution or price-control agreements outside applicable laws.

8.6 Sellers agree to hold Rakuten harmless for removals due to IP claims.

9. Purchase and Payment

9.1 Supported payment methods include:
(i) Credit Card (processed via third-party channels)
(ii) Cash on Delivery (where available)
(iii) Bank Transfer (Users must provide proof of transfer)
(iv) Instalment Purchase Plan (through supported banks for orders over $100 USD)

9.2 Payment method may only be changed before completing the transaction.

9.3 Rakuten is not liable for losses arising from incorrect payment or shipping information.

10. Seller Wallet

10.1 Your Seller Wallet stores funds from sales on the platform. Balance reflects total minus withdrawals.

10.2 Funds may be withdrawn to a linked bank account once per day. Withdrawals may take up to two business days to process.

10.3 One free withdrawal per week. Additional withdrawals may incur a fee of $0.03 (subject to applicable taxes).

10.4 Funds are credited to the Seller Wallet within three days after delivery confirmation.
10.5 Withdrawal requests cannot be modified or cancelled once submitted.

10.6 Rakuten may correct transaction errors via debit or credit to your account.

10.7 Rakuten may debit or credit the Seller Wallet for:
(i) transaction errors
(ii) fraudulent or suspicious activity
(iii) lost or damaged items
(iv) rewards or rebates
(v) uncharged fees
(vi) settlement of disputes
(vii) banned items or customs issues
(viii) buyer-seller agreed returns
(ix) recovery of outstanding amounts
(x) advertising credit top-ups

10.8 Rakuten may limit, freeze, or suspend Seller Wallets for non-payment or suspicious activity.

11. Limitation of Liability

Rakuten is not liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the Services. Users agree that all transactions are at their own risk.

12. Dispute Resolution

Disputes should first be attempted to resolve amicably with Rakuten support. For unresolved disputes, users may escalate under applicable law in their country of residence.

13. Governing Law

These Terms are governed by the laws of the jurisdiction where the User resides, unless mandatory local law provides otherwise.
